1. Acceptance of Terms
These Terms of Use ("Terms") govern your access to and use of the websites, applications, platform, products, messaging functionality, and related services offered by CauseVox ("CauseVox," "we," "us," or "our") (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.
We may update these Terms from time to time. If we do, we will post the updated version and revise the "Last modified" date above. Your continued use of the Services after any update becomes effective constitutes your acceptance of the revised Terms.
2. Description of Services
CauseVox provides fundraising, CRM, donor engagement, event, auction, messaging, and related software tools and services for nonprofit organizations and other users.
We may modify, suspend, or discontinue any part of the Services at any time, with or without notice, to the extent permitted by law.
Your use of certain features may be subject to additional terms, order forms, or written agreements.
3. Accounts and Registration Data
To access certain Services, you may need to create an account and provide certain information, including contact, organizational, billing, and other registration information ("Registration Data").
You agree to provide accurate, current, and complete Registration Data and to keep it updated.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
4. Privacy
Our collection, use, and disclosure of personal information are described in our Privacy Policy, which is incorporated into these Terms by reference.
We may share Registration Data with service providers and subprocessors as reasonably necessary to provide, maintain, support, secure, and improve the Services, and as otherwise described in our Privacy Policy.
No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data, consent records, and related mobile information will not be shared with third parties or affiliates for their own marketing or promotional purposes.
5. Fees and Payment
Your use of the Services may be subject to subscription fees, platform fees, payment processing fees, messaging fees, usage-based fees, or other charges as described on our pricing page, in an order form, or in another written agreement.
Unless otherwise stated, fees are non-refundable except as required by law or expressly stated in a separate written agreement.
6. Customer Data
As between you and CauseVox, you retain ownership of the data, content, donor records, contact records, campaigns, communications, and other materials you submit to or store in the Services ("Customer Data").
You grant CauseVox a non-exclusive, worldwide, royalty-free right to host, copy, transmit, display, process, and otherwise use Customer Data solely as necessary to provide, maintain, support, secure, and improve the Services and fulfill our obligations under these Terms and any applicable agreement.
You represent and warrant that you have all rights, permissions, and authority necessary to provide Customer Data to the Services and authorize CauseVox to process it as described in these Terms and our Privacy Policy.
7. Acceptable Use
You agree not to use the Services in any way that:
- Violates any applicable law, regulation, carrier rule, or industry guideline
- Infringes or misappropriates the rights of any third party
- Is fraudulent, deceptive, misleading, harassing, abusive, defamatory, or unlawful
- Transmits spam, malware, or harmful code
- Interferes with or disrupts the Services or related systems
- Attempts unauthorized access to any account, system, or network
- Uses the Services to send unauthorized or unlawful communications
We may suspend or terminate access to the Services for actual or suspected violations of these Terms.
8. SMS and Messaging Services
CauseVox may make available SMS, text messaging, and other messaging functionality as part of the Services.
This functionality may be used by organizations using CauseVox to communicate with their own contacts, supporters, donors, volunteers, participants, and other constituents. CauseVox may also operate limited CauseVox-owned messaging programs for users who have specifically opted in.
If you use SMS or messaging functionality through CauseVox, you are solely responsible for:
- Obtaining any consent required by applicable law
- Providing any required disclosures at the point of collection or opt-in
- Maintaining records of consent where required
- Honoring opt-out requests, including messages sent in response to STOP
- Responding appropriately to requests for assistance, including messages sent in response to HELP, where applicable
- Complying with all applicable laws, regulations, carrier requirements, and industry standards
CauseVox may establish messaging-related rules, throughput limits, approval requirements, content standards, and compliance safeguards.
Message delivery is not guaranteed. Carriers are not liable for delayed or undelivered messages. Message and data rates may apply.
Use of SMS functionality is also subject to the CauseVox SMS Terms and Conditions and any other program-specific requirements posted by CauseVox.
9. Third-Party Services
The Services may interoperate with or include links to third-party websites, products, services, processors, carriers, or integrations. CauseVox is not responsible for the availability, security, content, or practices of third-party services.
Your use of third-party services may be subject to separate terms and privacy policies.
10. Intellectual Property
CauseVox and its licensors retain all right, title, and interest in and to the Services, including all related software, technology, trademarks, service marks, logos, content, and intellectual property, except for Customer Data.
No rights are granted to you except as expressly stated in these Terms.
11. Feedback
If you provide CauseVox with suggestions, ideas, or feedback regarding the Services, you grant CauseVox a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use and incorporate that feedback without restriction or compensation.
12. Disclaimer of Warranties
The Services are provided "as is" and "as available." To the maximum extent permitted by law, CauseVox disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
CauseVox does not warrant that the Services will be uninterrupted, error-free, secure, or that any data or communications will always be transmitted or delivered successfully.
13. Limitation of Liability
To the maximum extent permitted by law, in no event will CauseVox or its affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business interruption, arising out of or relating to the Services or these Terms.
To the maximum extent permitted by law, CauseVox's total liability arising out of or relating to the Services or these Terms will not exceed the amounts paid by you to CauseVox for the Services giving rise to the claim during the twelve (12) months preceding the event giving rise to the liability.
14. Indemnification
You agree to defend, indemnify, and hold harmless CauseVox and its affiliates, officers, directors, employees, and agents from and against any claims, losses, liabilities, damages, judgments, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:
- Your use of the Services
- Your Customer Data
- Your violation of these Terms
- Your violation of applicable law or third-party rights
- Your messaging practices, including SMS consent, content, recipient targeting, or opt-out compliance
15. Suspension and Termination
We may suspend or terminate your access to the Services immediately if:
- You breach these Terms
- Your use creates legal, compliance, operational, or security risk
- Required by law, carrier rules, payment processors, messaging providers, or other third-party platform requirements
You may stop using the Services at any time.
16. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Any dispute arising under these Terms shall be brought in the state or federal courts located in Delaware, and each party consents to that jurisdiction and venue.
17. Miscellaneous
These Terms, together with any incorporated policies and any applicable order form or written agreement, constitute the entire agreement between you and CauseVox regarding the Services.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
CauseVox may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets. You may not assign these Terms without our prior written consent.
